All services provided will be outlined in individual contracts or service agreements with clients and may be customized to meet the specific needs of each client.

2. Service Agreement

The scope, terms, and fees for each service will be established in a separate agreement or proposal. The agreement will outline specific deliverables, timelines, and expectations. By signing or agreeing to the proposal, the client acknowledges their understanding of the services being provided and agrees to abide by these Terms.

3. Payment Terms
  • Fees: All fees for services will be agreed upon in the service agreement or proposal. Fees may be one-time payments, monthly retainers, or project-based, depending on the specific service. 
  • Invoicing: VUI Live will invoice the client according to the agreed-upon payment schedule. Payments are due within the time specified in the invoice (typically 7 to 30 days from the date of issue). 
  • Late Payments: Any overdue payment will be subject to a late fee of [insert percentage]% per month or the maximum allowed by law, whichever is greater. Services may be suspended if payments are not received on time. 
4. Client Responsibilities
  • Information: The client agrees to provide all necessary access, data, and materials needed to complete the services outlined in the agreement. This may include access to website content, social media accounts, advertising accounts, and any other relevant business information. 
  • Cooperation: The client agrees to cooperate fully with VUI Live and provide timely responses, approvals, and feedback throughout the duration of the project. 
5. Intellectual Property
  • Ownership: Upon full payment for services, the client will own the rights to the final deliverables, unless otherwise specified in the agreement. VUI Live retains the right to use non-confidential project information for marketing and portfolio purposes. 
  • License: If applicable, VUI Live grants the client a non-exclusive, non-transferable license to use any proprietary software, tools, or intellectual property required for the completion of the services. 
6. Confidentiality

Both parties agree to keep all confidential information, including business strategies, marketing plans, and other proprietary materials, confidential. This confidentiality obligation will remain in effect after the completion or termination of the service agreement.

7. Service Modifications and Revisions
  • Scope Changes: Any modifications or changes to the original scope of work must be agreed upon in writing and may result in additional fees or changes to the timeline. 
  • Revisions: Where applicable, clients are entitled to 2 rounds of revisions. Additional revisions will be billed at the hourly rate specified in the agreement. 
8. Termination of Services
  • Client Termination: The client may terminate services at any time, provided that written notice is given to VUI Live. If services are terminated before completion, the client will be responsible for paying for any completed work or services rendered up to the termination date. 
  • VUI Live Termination: VUI Live reserves the right to terminate services if the client fails to fulfil their obligations (such as delayed payments or non-cooperation). VUI Live will provide notice before termination. 
9. Limitation of Liability

VUI Live will perform services with reasonable care and skill but makes no warranties or guarantees regarding the results of its work. In no event shall VUI Live be liable for any indirect, consequential, or punitive damages arising out of the services provided. The maximum liability for any claims related to the services provided shall not exceed the total fees paid by the client for the services.

10. Indemnification

The client agrees to indemnify and hold VUI Live, its employees, agents, and affiliates harmless from any claims, damages, or expenses arising out of the client’s use of the services or their violation of these Terms.

11. Data Protection and Privacy
  • Confidential Information: VUI Live is committed to protecting the privacy and confidentiality of client information. Any personal data shared will be handled by our Privacy Policy. 
  • Third-party Services: Some services provided by VUI Live may involve third-party tools or platforms (e.g., Google Ads, Facebook Ads, etc.). The client acknowledges and accepts the terms and privacy policies of these third-party services.
12. Changes to Terms

VUI Live reserves the right to update, modify, or change these Terms at any time without prior notice. Any changes will be posted on the Site, and the updated Terms will become effective upon posting. Clients are encouraged to review these Terms periodically.
